How to Apply and Get Official Approval for Setting up FDI Enterprises
一、设立形式
Forms of Company
根据《公司法》的要求，在中国境内注册登记的公司主要有两种形式：有限责任公司和股份有限公司。
China’s Corporate Law requires that corporations registered within its borders assume either of the following two forms: limited liability company or public limited company.
二、投资方式
Modes of Foreign Investment
中外合资经营企业、中外合作经营企业、外资企业是外商投资最主要的方式，其他投资方式包括设立外商投资股份制有限公司、投资性公司、创业投资企业、研发中心、金融资产管理公司、BOT、TOT、并购等。
Principal modes of foreign investment include: Sino-foreign equity joint ventures; Sino-foreign contractual joint ventures; and foreign-funded enterprises. Among other modes are foreign public limited company; foreign investment companies; venture capital companies; R&D centers; assets management companies; BOT, TOT and merger, etc.
三、审批权限
Levels of Authorities over Application Examination and Approval
1、国家级审批权限：总投资1亿美元(含)以上的鼓励类、允许类项目和总投资5000万美元(含)以上的限制类项目。
Any project of the “Encouraged” or “Permitted” category with a total investment above US $ 100 million (inclusive), or of the “Restricted” category with a total investment above US $ 50 million (inclusive), is required to be examined and approved by the State Council.
2、省级审批权限：总投资1亿美元以下的鼓励类、允许类项目和总投资5000万美元以下的限制类项目。
外商并购境内企业、非上市股份制企业变更。
Any project of the “Encouraged” or “Permitted” category with a total investment less than US $100 million, or of the “Restricted” category with a total investment less than US $ 50 million, is required to be examined and approved by the provincial government.
四、外商投资企业设立登记所需提交的文件、证件
Documents and Certificates Required for the Registration of Establishment of Foreign-funded Enterprise
1 拟任法定代表人签署的申请书
Application signed by the legal representative to be appointed.
2 审批机关的批准文件（批复和批准证书副本1）,募集方式设立的股份有限公司还应提交国务院证券管理部门的批准文件
The approval Documents(written reply and duplicate 1of approval certificate)of examination & approval authority; the joint stock limited company which is incorporated in form of fund-raising is required to submit the approval documents issued by the Securities Management Department of the State Council.
3 有关项目建议书或可行性研究报告的批准文件
The approval documents of the concerned Project Proposal or Feasibility Study Report
4 合同、章程
Contract, articles of association
5 名称预先核准通知书
Application of Pre-approval of Name
6 投资者的合法开业证明和资信证明
Legal Business Opening Certificate (copy) and Credit Certificate of investors
7 法定代表人、董事、监事任职文件原件及身份证明复印件
Original Letter of Appointment of Legal Representative, Directors and Supervisors, as well as the copies of their ID Cards.
8* 国有资产产权登记备案表
Filing Form of Property Registration of State-owned Assets.
9 住所使用证明
Domicile Using Certificate
10* 创立大会的会议记录
Minutes of founding Meeting
11* 发起人协议
Promoters Agreement
12* 筹办公司财务审计报告
audit Report of Financial Statement of the company under preparation
13* 具有法定资格的验资机构出具的验资证明
Investment verification Certificates issued by a legally authorized investment verification authority
14* 前置审批文件或证件
Earlier setup examination & approval documents or certificates
15 其它有关文件、证件
Other related document and certificates
说明：
1、本申请书应用黑色或蓝黑色钢笔、签字笔填写，字迹应清楚。
2、第8项仅适用于国有企业投资方。
3、第10、11、12项仅限适用于股份有限公司。第13项仅限适用于股份有限公司和金融机构。
4、第14项不需经过前置审批的行业则无需提交。
Note: 1.The Application must be filled out in black or blue-black ink with neat writing;
2.The above item 8 is applicable to state-owned enterprises only;
3.3.The above item 10,11 and 12 are applicable to joint stock limited companies only. And the item 13 is applicable to joint stock limited companies and finance institutions only;
4.The above item 14 is not applicable to the enterprises, which are not required earlier setup examination and approval.
